Terms & Conditions

Please read these terms carefully before using iDineOS services

1. Agreement to Terms

Welcome to iDineOS ("Company," "we," "our," "us"). By accessing or using our website, applications, POS systems, hardware, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (either an individual or an entity) and iDineOS | I HOST BOSS SDN. BHD. (Company Registration No. 1234567-X). By using our Services, you represent that you have the authority to bind your organization to these Terms.

Important: These Terms contain important information about your rights and obligations, including limitations of liability and dispute resolution provisions. Please read them carefully.

2. Definitions

For the purposes of these Terms:

  • "Account" means the unique account created for you to access our Services.
  • "Business Day" means Monday through Friday, excluding public holidays in Malaysia.
  • "Content" means all information, text, graphics, logos, images, and software provided through the Services.
  • "Customer Data" means all data, including customer information, orders, and transactions, that you input into the Services.
  • "Device" means any computer, tablet, smartphone, or hardware that can access our Services.
  • "Fees" means the subscription fees and other charges for using our Services.
  • "Merchant" means a restaurant, bar, cafΓ©, or food business using our Services.
  • "Subscription Period" means the duration of your paid subscription (monthly, annual, or lifetime).
  • "Termination" means the ending of your right to use the Services.
  • "User" means any individual who accesses or uses the Services on behalf of a Merchant.

3. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding contract.
  • You are not located in a country that is subject to trade sanctions or embargoes.
  • You have not been previously suspended or removed from our Services.
  • If you are registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
  • All information you provide is accurate, current, and complete.

4. Account Registration

4.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.

4.3 Multiple Users

If your subscription allows multiple users, you are responsible for all users' compliance with these Terms. You may not share access credentials with unauthorized individuals.

5. Subscription Plans

iDineOS offers the following subscription plans:

Lifetime License $599 one-time All features forever, unlimited everything, VIP support

5.1 Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades will take effect at the end of your current billing cycle.

6. Payment Terms

6.1 Fees

You agree to pay all applicable fees as described on our pricing page. All fees are in United States Dollars (USD) unless otherwise specified.

6.2 Payment Methods

We accept payment via:

  • Credit/Debit Cards (Visa, Mastercard, American Express, Diners, JCB, Discover)
  • PayPal
  • Stripe
  • QR Pay
  • Bank Deposit / Wire Transfer (as per our bank details page)

6.3 Auto-Renewal

Monthly and annual subscriptions automatically renew at the end of each billing period unless cancelled. You authorize us to charge the applicable fees to your selected payment method.

6.4 Taxes

You are responsible for all taxes, duties, and government charges associated with your use of the Services, excluding taxes based on our net income.

6.5 Late Payments

If your payment method fails, we may suspend access to your account until payment is received. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

7. Refund Policy

7.1 Money-Back Guarantee

We offer a 30-day money-back guarantee for all new subscriptions. If you are not satisfied within the first 30 days of your paid subscription, contact us for a full refund.

7.2 No Refunds After 30 Days

After the 30-day period, subscription fees are non-refundable, including for partial usage periods.

7.3 Lifetime Licenses

Lifetime licenses are eligible for a refund within 30 days of purchase. After 30 days, lifetime licenses are non-refundable.

7.4 Hardware Purchases

Hardware purchases are subject to separate return policies as specified at the time of purchase.

8. Free Trial

We offer a 30-day free trial to new users. During the trial period, you have access to all features of the Services. At the end of the trial period, your account will be suspended unless you subscribe to a paid plan. We do not require credit card information for the free trial.

Trial Limitations: Free trials are limited to one per merchant and cannot be combined with other offers.

9. Service Usage

9.1 Permitted Use

You may use the Services solely for your legitimate business operations. You agree not to:

  • Use the Services for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful code or malware
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of the Services
  • Reverse engineer or decompile any portion of the Services
  • Use the Services to process transactions for illegal goods or services

9.2 Fair Usage Policy

Our subscription plans include reasonable usage limits. Excessive usage that impacts system performance may result in throttling or additional fees.

10. Hardware Terms

10.1 Hardware Purchase

If you purchase hardware through iDineOS, the hardware is subject to the manufacturer's warranty. iDineOS facilitates the purchase but is not the manufacturer of hardware products.

10.2 Warranty

Hardware warranty periods vary by product (typically 12 months). Warranty claims are handled directly with the manufacturer or through our support team as facilitator.

10.3 Installation

Hardware installation services, if purchased, are provided by our trained technicians. We are not liable for damage caused by improper installation by third parties.

10.4 Compatibility

We ensure hardware compatibility with our software. However, we are not responsible for compatibility issues with third-party software not provided by iDineOS.

11. Data & Privacy

11.1 Customer Data

You retain all rights to your Customer Data. By using our Services, you grant us a license to host, process, and store your data to provide the Services.

11.2 Data Processing

We process data in accordance with our Privacy Policy and applicable data protection laws, including Malaysia's PDPA, GDPR, and CCPA where applicable.

11.3 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

11.4 Data Backup

We maintain regular backups of our systems. However, you are responsible for maintaining backup copies of your important data.

11.5 Data Deletion

Upon termination of your account, we will delete your Customer Data within 30 days, unless retention is required by law.

12. Intellectual Property

12.1 Our IP

The Services, including all software, algorithms, designs, text, graphics, logos, and trademarks, are the exclusive property of iDineOS and our licensors. They are protected by copyright, trademark, and other intellectual property laws.

12.2 License

We grant you a non-exclusive, non-transferable, revocable license to use the Services during your subscription period.

12.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

12.4 Feedback

If you provide us with suggestions or feedback, you grant us the right to use that feedback without compensation or restriction.

13. Third-Party Services

Our Services may integrate with third-party services (e.g., payment gateways, delivery platforms). We are not responsible for the acts or omissions of these third parties. Your use of third-party services is governed by their respective terms.

Third-party services we integrate with include:

  • Payment processors (Stripe, PayPal, Razorpay)
  • Cloud infrastructure providers
  • Hardware manufacturers
  • Delivery service providers

14. Limitation of Liability

Important Legal Limitation:

To the maximum extent permitted by law:

  • The Services are provided "as is" and "as available" without warranties of any kind.
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
  • We do not warrant that the Services will be uninterrupted, error-free, or secure.
  • In no event shall iDineOS be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount you paid us during the 12 months preceding the claim.
  • Some jurisdictions do not allow the exclusion of certain warranties, so some limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless iDineOS, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit through the Services

16. Termination

16.1 By You

You may terminate your account at any time through your account settings. Termination will be effective at the end of your current billing period.

16.2 By Us

We may suspend or terminate your access to the Services if:

  • You breach these Terms
  • Your payment fails
  • You violate applicable laws
  • We are required to do so by law
  • You engage in fraudulent or abusive behavior

16.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We may delete your data after 30 days. Sections that by their nature should survive termination shall survive.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute Resolution

18.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@gagesis.online. We will attempt to resolve the dispute within 30 days.

18.2 Arbitration

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration in Kuala Lumpur, Malaysia, in accordance with the rules of the Asian International Arbitration Centre (AIAC).

18.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
